Form 5471 (Information Return of U.S. Persons With Respect to Certain Foreign Corporations) is an IRS disclosure form required from US persons -- citizens, residents, and domestic entities -- who meet specified ownership, officer, or director thresholds with respect to a controlled foreign corporation (CFC) or certain other foreign corporations. The form captures the foreign entity's balance sheet, income statement, earnings and profits, transactions with related US persons, and ownership structure. There are multiple filing categories (Categories 1 through 5) with different disclosure requirements; the most comprehensive (Category 5 US shareholders of CFCs) requires substantial financial schedule completion. The form is filed as an attachment to the US filer's tax return and does not directly create a tax liability, but it is foundational to Subpart F income inclusion and GILTI (Global Intangible Low-Taxed Income) calculations.
A US private equity fund acquires a majority stake in a Canadian marina operator structured as a Canadian corporation. The US fund's general partners, who are US persons owning more than 10% of the foreign corporation's voting stock, become Category 4 or 5 filers required to file Form 5471 annually. The filing requires the Canadian entity's financial statements translated into USD using the applicable exchange rates (generally average-rate for income statement items, year-end spot rate for balance sheet), plus Schedules C, E, H, I, J, and M depending on the filer's category.
