Form 1065 (U.S. Return of Partnership Income)

Form 1065 is the U.S. Return of Partnership Income, filed by partnerships and most multi-member LLCs to report the entity's income, deductions, gains, and losses. The partnership itself generally does not pay income tax; instead, each partner's share of items flows through to them on a Schedule K-1, which they use to report on their own returns. The K-1 instructions explain how to allocate and report each line, including ordinary business income, rental items, and separately stated items.

Problem & Application

Real-estate partnerships and jointly owned STR or campground ventures almost always file Form 1065, and the Schedule K-1s drive what each partner actually owes. Errors in allocations, capital accounts, or basis tracking ripple straight into partners' personal returns and can be costly to unwind. Accurate, well-maintained books throughout the year are what make K-1 preparation clean rather than a reconstruction project.
